Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Ontogent platform operated by Strategnik LLC ("Ontogent," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

Ontogent is a context platform for agentic go-to-market operations. The Service includes:

• Knowledge graph construction and management
• GTM job inventory and automation readiness scoring
• Agent fleet management and execution
• Context assembly and delivery via API
• Weekly digests and performance reporting
• Cross-client pattern detection (anonymized)
• Content compliance linting

You are responsible for maintaining the confidentiality of your account credentials and API keys. You are responsible for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

API keys grant programmatic access to your workspace. Treat them as passwords. We are not responsible for unauthorized access resulting from compromised API keys.

4.1 Your Data

You retain all rights to the data you upload, input, or generate through the Service ("Client Data"). This includes documents, brand rules, competitive intelligence, ICP definitions, and all content in your knowledge graph. We do not claim ownership of your Client Data.

4.2 Agent Outputs

Deliverables produced by agents running on the Ontogent platform (competitive digests, content briefs, reports, etc.) are your property. We do not claim ownership of agent outputs.

4.3 Aggregated Intelligence

Ontogent owns the anonymized, aggregated patterns derived from cross-client data ("Aggregated Intelligence"). This includes statistical patterns about output performance, agent effectiveness, and automation readiness accuracy — but never includes any Client Data, content, competitive intelligence, or identifying information. 4.4 License Grant

You grant Ontogent a limited, non-exclusive license to process your Client Data solely to provide and improve the Service. This includes running it through our composition pipeline, generating embeddings for search, and producing agent outputs at your direction.

You agree not to:

• Use the Service to generate spam, phishing content, or malicious materials
• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Attempt to access another client's workspace or data
• Exceed rate limits or abuse API access in a way that degrades the Service for others
• Upload content that infringes on third-party intellectual property rights
• Use the Service in violation of any applicable law or regulation

6.1 Availability

We target 99.9% uptime for the web application and API. This excludes scheduled maintenance (announced at least 24 hours in advance) and force majeure events.

6.2 API Rate Limits

API rate limits are enforced per API key and vary by subscription tier:

• Platform: 500 requests/day
• Platform Plus: 5,000 requests/day
• Enterprise: Custom limits

6.3 Agent Execution

Agent execution depends on third-party LLM providers (currently Anthropic Claude). We do not guarantee specific execution times or output quality. Agents may fail due to provider outages, rate limits, or context complexity. Failed runs are logged and can be resumed.

7.1 Plans

The Service is offered in multiple subscription tiers. Current pricing is displayed on our website and may be updated with 30 days' notice to existing subscribers.

7.2 Billing

Subscriptions are billed monthly in advance. You authorize us to charge your payment method on file. Unpaid invoices may result in service suspension after a 14-day grace period.

7.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods. Upon cancellation, your data is retained for 30 days and then deleted per our Privacy Policy.

The Service, including its design, architecture, code, documentation, and Aggregated Intelligence, is owned by Strategnik LLC and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Service during your subscription term.

"Ontogent" and associated logos are trademarks of Strategnik LLC.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONTOGENT'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY.

Agent outputs are generated by AI and may contain errors, inaccuracies, or unsuitable content. You are responsible for reviewing all agent outputs before use. We do not guarantee the accuracy, completeness, or fitness of any agent output for any particular purpose.

You agree to indemnify and hold harmless Ontogent from claims arising from: (a) your use of the Service, (b) your Client Data, (c) your violation of these Terms, or (d) your violation of any third-party rights.

Each party agrees to keep the other's confidential information confidential and not disclose it to third parties without prior written consent. Confidential information does not include information that: (a) is publicly available, (b) was known to the receiving party before disclosure, or (c) is independently developed without reference to confidential information.

Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms, fail to pay, or if required by law. Upon termination, your right to use the Service ceases immediately. Sections 4, 8, 9, 10, 11, and 14 survive termination.

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance. If you disagree with changes, you may cancel your subscription before they take effect.

These Terms are governed by the laws of the State of Texas. Any disputes will be resolved in the courts of Travis County, Texas. These Terms constitute the entire agreement between you and Ontogent regarding the Service. If any provision is found unenforceable, the remaining provisions continue in full force. Our failure to enforce any right does not constitute a waiver.
